By downloading, accessing, or using Frith (the “App”) on any device or platform, you agree to abide by these Terms of Use, which govern your relationship with Frith, and our Privacy Policy, which explains how we handle your data. These terms form a legally binding contract between you and Fonberg Technologies, LLC, so please read them carefully. By creating an account, accessing, or using Frith, you confirm that you understand and agree to these terms in their entirety. If you do not agree, please discontinue using the App immediately. We may modify these Terms of Use at any time, and such modifications will be effective upon posting to the App. Your continued use of Frith following the posting of changes indicates your acceptance of the updated terms.

2. Definitions

To clarify certain terms within this agreement:

  • User: Any individual who downloads, installs, registers for, or accesses the App or associated services.

  • Content: Refers to all text, images, audio, video, and other materials uploaded, submitted, or shared on Frith by users or Fonberg Technologies, LLC.

  • App or Services: Frith, including its website, software, mobile applications, and all related services provided by Fonberg Technologies, LLC.

3. Eligibility

Frith is only intended for individuals 18 years or older who are legally permitted to form a binding contract under applicable law. By registering for Frith, you confirm that you meet this age requirement and have not previously been banned from using Frith for any reason. We reserve the right to suspend or delete any account if we have reason to believe a user does not meet these requirements, helping us maintain a safe and trustworthy community.

4. Account Registration and Responsibilities

When creating an account on Frith, you agree to provide accurate, complete, and current information. You are responsible for safeguarding your login credentials and must notify us immediately if you suspect unauthorized access. We are not responsible for any losses resulting from unauthorized account access due to a failure to secure your login information. Frith reserves the right to terminate or suspend accounts if we detect unusual activity or believe an account has been compromised.

5. Community Guidelines

Frith fosters positive connections, and we are committed to maintaining a respectful and safe environment. By using Frith, you agree to these guidelines:

  • No Illegal or Prohibited Activities: Do not use Frith for unlawful purposes or to engage in harmful, exploitative, or abusive behavior.

  • Respect and Inclusion: Harassment, bullying, offensive content, or discriminatory behavior will not be tolerated.

  • Authenticity: Maintain honest representation; false identities are prohibited.

  • No Commercial Solicitation: Do not use Frith for business promotions or commercial activities without prior consent.

  • Protecting Frith’s Security: Do not attempt to disrupt, hack, or compromise the App’s security.

Violations may lead to content removal, account suspension, or termination. We reserve the right to take any action we deem necessary to maintain Frith’s integrity.

6. Types of Content

Frith includes various types of content:

  • User-Generated Content: Text, images, videos, or other material that users upload or share.

  • Third-Party Content: Content uploaded by other users or external partners.

  • Frith Content: Proprietary content, including design elements, text, and software.

By uploading content, you grant Fonberg Technologies, LLC a non-exclusive, royalty-free, worldwide license to use, display, and distribute it solely for operating and promoting Frith. All intellectual property rights related to Frith remain the property of Fonberg Technologies, LLC.

7. Third-Party Integrations and App Store Use

Frith is available on third-party platforms, including Apple’s App Store and Google Play Store. By downloading Frith from these platforms, you agree to their respective terms of service. Fonberg Technologies, LLC is solely responsible for Frith’s functionality, and neither Apple nor Google has any responsibility or obligation to provide support. Fonberg Technologies, LLC disclaims any warranties or guarantees associated with third-party services linked through Frith.

8. Location Services

Frith is designed to work with location services enabled. If you choose not to grant Frith access to your location, the app may not function as intended, and it will be more challenging for other users to find and connect with you. However, access to location services is highly encouraged to enhance the app experience.

9. Consent to Communications

By creating an account, you consent to receive essential communications from Fonberg Technologies, LLC, such as notifications about your account, security alerts, and other administrative messages. Although you may opt out of promotional messages, some communications are necessary for maintaining your account and cannot be disabled.

10. Privacy and Data Collection

Frith collects personal data as outlined in our Privacy Policy, including phone numbers, location data, contacts, and photos, to enable app functionalities and provide a personalized user experience. By using Frith, you consent to our collection, storage, and usage of this data. Review our Privacy Policy to understand our data handling practices.

11. User Rights and Data Deletion

Frith respects your data privacy rights. Depending on your location, you may have the right to access, correct, or delete personal information under GDPR, CCPA, or other privacy laws. Contact us to exercise these rights, and we honor valid data requests in compliance with applicable laws.

12. Data Security and Retention

Fonberg Technologies, LLC employs industry-standard measures to protect user data, though no system is fully secure. Data is retained as long as your account is active or as required by law. Upon account termination, personal information is deleted per legal requirements, though some data may remain in backups or archives for compliance.

13. Limitation of Liability

Fonberg Technologies, LLC is not liable for any indirect, incidental, or consequential damages arising from your use of Frith. This includes damages caused by user interactions, reliance on content, or app interruptions. To the maximum extent permitted by law, you agree to hold us harmless from any claims related to your use of Frith.

14. Indemnification

By using Frith, you agree to indemnify and defend Fonberg Technologies, LLC against any claims, damages, or losses arising from your use of the App, interactions with other users, or any breach of these Terms. This includes covering legal fees, costs, or settlements from such claims.

15. Subscriptions and Payment Terms

Currently, Frith is free to use. If subscription-based services or in-app purchases are introduced, additional terms will be provided, including payment options, cancellation terms, and refund policies. You will be notified of any changes, and continued use of Frith following the implementation of paid features indicates your acceptance of these new terms.

16. User Conduct and Responsibilities

Users must not engage in activities that interfere with or disrupt Frith’s functionality or servers. Unacceptable conduct includes unauthorized data collection, automated queries, or tampering with Frith’s software or database. Engaging in prohibited conduct may result in suspension or account termination.

17. Intellectual Property Rights

All content provided by Fonberg Technologies, LLC within the App, including but not limited to text, graphics, logos, and software, is the exclusive property of Fonberg Technologies, LLC and is protected under applicable copyright and intellectual property laws.

18. Dispute Resolution and Arbitration Agreement

If you have a dispute with Fonberg Technologies, LLC, we encourage you to contact us to resolve it amicably. However, unresolved disputes will be submitted to binding arbitration under Texas law. Arbitration ensures efficient dispute resolution outside of court. You may opt out of this provision within 30 days of accepting these terms by notifying us in writing.

19. Governing Law and Jurisdiction

These Terms of Use and any disputes related to your use of Frith are governed by Texas law. If arbitration is not applicable, disputes will be resolved in Texas state or federal courts, and you consent to their jurisdiction.

20. Modifications to Terms

Fonberg Technologies, LLC reserves the right to modify these Terms of Use. We will notify you of changes, and continued use of Frith indicates acceptance of the updated terms. Please review these terms periodically.
